To the maximum extent permitted by law, this agreement is governed by the laws of the State of Michigan and you hereby consent to the exclusive jurisdiction and venue of courts in Michigan in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Blue Sky Disposal Inc as a result of this agreement or use of the Site. Blue Sky Disposal Inc's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Blue Sky Disposal Inc's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Blue Sky Disposal Inc with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Blue Sky Disposal Inc with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Blue Sky Disposal Inc with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
Blue Sky Disposal Inc reserves the right, in its sole discretion, to change the Terms under which www.BlueSkyDisposal.com is offered. The most current version of the Terms will supersede all previous versions. Blue Sky Disposal Inc encourages you to periodically review the Terms to stay informed of our updates.
Customer shall be responsible for the safekeeping of the contractor’s equipment. Customer shall not remove or move the equipment or make any alterations or improvement without the expressed written consent of Contractor. Customer shall not overload the equipment, nor use it for incineration purposes. Customer is liable for any loss. Damage or costs in excess of reasonable wear and tear or as of a result of overloaded equipment including any overweight ticket that maybe issued to Contractor for loads exceeding the current weight limit. In the event this law changes, the customer shall adhere to the new law on weight limits. Customer understands that Contractor cannot weigh the container prior to removal of the loaded dumpster due to the expense involved and thus the liability of the weight is fully held by the customer. Customer shall identify, defend and hold contractor harmless from and against all claims liabilities for injury or death to persons or loss or damage to property arising out of the Customers’ use, operations of possessions of the equipment.
Customer warrants and represents that any right of the way provided by the customer from Customer’s vehicles/containers placement to the most convenient public way, is sufficient to bear the weight of the all the contractor’s vehicles, containers and containers contents required to perform the services herein contracted. Customer also warrants sufficient overhead and side clearance to accommodate the placement and movement of vehicles/containers. Contractor shall not be responsible for damage to any private pavement or accompanying subsurface of any route necessary to perform the services contained herein and shall not be responsible for overhead and/or side objects such as electrical wire, overhanging roof lines or eaves, trees, walls, corrals, gates etc, whether such obstacles are within customer’s lot line or a neighboring property. Customer agrees that contractor shall have access to its containers at all times. If any containers cannot be accessed immediately by driver due for any reason other than the Contractor's sole fault, such as overloading or blocked access, Customer shall pay $175.00 per hour demur rage fee. The demur rage fee shall be prorated every fifteen minutes. Customer shall authorize contractor to utilize its best judgment in placing the containers even if Contractor finds that the Customer’s initial placement request (if given) is not feasible. Re-locations and/or Dry runs shall be charged a minimum of $150.00 per occurrence. Unless otherwise set forth in writing by Contractor, a 4 ton minimum shall be charged by Contractor to Customer on all Haul and Ton roll off trailer pricing and Contractor may estimate tonnage if necessary. Unless otherwise set forth in writing by the Contractor, Containers with contents deemed as being over the tonnage limit at Contractor’s sole discretion shall be charged by the Contractor at thirty-nine dollars per ton over three tons to roll off/trailer Customers on flat rates. Customer shall defend and hold contractor harmless from all claims, damage suits, penalties, fines, liabilities, and extra costs for any such damage or for extra hauling fees due to inaccessibility of equipment, inactive equipment may be pulled after seven days at Contractor’s sole discretion or maybe charged a rental fee of no less then fifteen dollars per day unless otherwise set forth in writing by Contractor.
Customer agrees that payment is made in full prior to delivery of the containers. Customer further agrees that in the event it makes its payment in electronic means, Contractor is entitled to add the charges or costs allowed by this Agreement, including costs for overweight tickets, return of rejected waste materials, extra hauling costs if equipment is inaccessible ect. Customer waives any right to revoke, dispute any electronic payments made pursuant to this paragraph. In the event of any cancellation of containers made by the customer, prior to delivery, Contractor reserves the right to charge a ten percent of the total price of the container and refund the difference back to the Customer.
Customer warrants and represents that the waste materials delivered to Contractor under this Agreement will not contain any hazardous, toxic or radioactive waste or other special waste as those terms are defined under applicable federal, state and/or local laws or regulations defined substances (e..g Tires, soils, liquids, ) Customer shall retain title to and liability for all waste materials. Contractor shall be entitled to return the equipment to Customer’s site for unloading of waste material that is rejected at the disposal site, or that otherwise violates this paragraph. Recycle loads deemed as being contaminated by the driver shall be charged as regular mixed trash material at forty dollars per ton disposal plus a reroute additional hauling fee of no less than two hundred dollars. Customer shall identify defend and hold Contractor harmless from and against all claims, liabilities, fines and cost of any nature whatsoever, arising out of the breach of the warranty stated above, including extra hauling and/or disposal fees incurred. Customer shall also not load the equipment with tree stumps, or telephone poles.
The term equipment shall mean all equipment and containers furnished by Contractor providing the services as specified on the face of this agreement. All equipment furnished by Contractor, which Customer has not purchased, shall remain the property of Contractor and Customer shall have no right, title, or interest in the equipment and the equipment shall be returned to Contractor upon termination of this Agreement in the same condition as received, reasonable wear and tear accepted.
